This Agreement is a public offer (offer) of the Individual Entrepreneur Yeromina Oksana Dmytrivna (hereinafter referred to as the "Service Provider"), addressed to any individual or legal entity (hereinafter referred to as the "Customer"), to conclude an agreement for the provision of services on the terms set out below, in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine.
Payment for the Service Provider's services constitutes full and unconditional acceptance of the terms of this Agreement.
By accepting this public offer, you agree to all the terms set out below, confirm that you understand all its provisions, and enter into this service agreement on these terms.
The Service Provider and the Customer are hereinafter collectively referred to as the "Parties" and individually as a "Party."
1.1 Website: https://www.prolapki.site/ - a set of educational and promotional materials posted and administered by the Service Provider. The Service Provider may, at its own discretion, change the materials and the method of their administration.
1.2 Consultation (in-person or online): A meeting between the Service Provider and the Customer at a pre-determined location and in a pre-determined messenger, at a pre-determined time, for a pre-determined duration (defined by the service), for a pre-determined fee.
1.3 Support: Responding to the Customer's questions via text, video, and audio messages in the Telegram messenger in a specially created work chat (a chat group, in the name of which the name of the animal for which the Customer requested an in-person or online Consultation is indicated) for 30 calendar days, providing tasks and recommendations in writing.
1.4 Package: A service bundle that includes a specific number of Consultations (as indicated on the Website page for each type of Package separately) and Support.
1.5 Boarding (Sitting): Voluntary handover of a dog, cat, or rodent by the Customer to the Service Provider for further care on the Service Provider’s or Customer’s premises on terms and at a price previously agreed upon with the Customer via messages in Instagram or Telegram messenger.
1.6 Walking: Voluntary handover of a dog by the Customer to the Service Provider for a walk in the Peresyp district area between 9:00 and 20:00, with a limit of 40/60/90 minutes, on terms and at a price previously agreed upon with the Customer via messages in Instagram or Telegram messenger.
1.7 Puppy Selection Service: A "turnkey" service provided in two options: 1) Getting to know the Customer's style and rhythm of life, presenting a limited number of breeds that best suit the Customer's request, assistance with breed determination, searching for breeders of this breed, consultations and interviews with them, determining the following criteria for evaluating the club and a specific puppy: general information; housing conditions and space; socialization and environmental enrichment; health, veterinary medicine, and hygiene; parents and genetics; puppy behavior and weaning. 2) Searching for breeders of the desired breed, consultations and interviews with them, determining the following criteria for evaluating the club and a specific puppy: general information; housing conditions and space; socialization and environmental enrichment; health, veterinary medicine, and hygiene; parents and genetics; puppy behavior and weaning.
1.8 Info Products: Proprietary information products in the form of lectures, presentations, guides, courses, and other files, each aimed at a specific topic and set of issues.
2.1 The Service Provider undertakes to provide services to the Customer (hereinafter referred to as "Services"), and the Customer undertakes to accept and pay for them under the terms of this Agreement.
2.2 The list of Services provided by the Service Provider includes, but is not limited to (in accordance with the information on the website prolapki.site):
2.3 The specific type of service, its scope, and cost are chosen by the Customer on the Service Provider's website or agreed upon by the Parties individually.
3.1 Cooperation of the Parties (Consultations, Package, Walking, and Boarding) begins according to the following mandatory algorithm:
3.1.1 Stage 1 (Introductory, introduced from March 1, 2026): A free video call lasting up to 30 minutes. The purpose of the call is exclusively to get acquainted and study the Customer's problems. At this stage, the Service Provider does not provide any professional cynological recommendations.
3.1.2 Stage 2 (Payment): The Customer makes a 100% prepayment (or partial payment by agreement) for the chosen service. This action confirms full familiarization and agreement with the terms of this Agreement.
3.1.3 Stage 3 (Booking): The Parties agree upon and fix the date and time for service provision.
3.1.4 Stage 4 (Cooperation): Direct provision of the paid service.
3.2 Consultation services of Support, which have a term of 30 calendar days, begin from the moment the first consultation is provided, after which the Customer has received a summary of recommendations. After the 30 calendar days expire, the Customer has the right to renew the support for an additional 30 days by mutual agreement of the parties an unlimited number of times.
3.3 Cooperation of the Parties (Puppy Selection Service) begins according to the following mandatory algorithm:
3.3.1 Stage 1 (Introductory): The Service Provider learns about the Customer's request, their style and rhythm of life, possibilities, condition, etc.
3.3.2 Stage 2 (Payment): After the Introductory stage, the final cost of the service is formed, which depends on the scope of work and complexity of the task. The Service Provider states the full cost to the Customer, and the Customer must pay this amount. Only after full payment is it possible to move to the next stage.
3.3.3 Stage 3 (Search for breeds upon Customer request) - optional: Preparation of a presentation of a defined limited number of breeds that the Customer might like. This stage is considered completed after the presentation is sent by the Service Provider to the Customer.
3.3.4 Stage 4 (Search for clubs and consultations with breeders): The Service Provider creates a Google Sheets table and provides access to this table to the Customer. In this table, the Customer can see the status "as of now" - the city of the club, name, owner, contact method, communication status (no status/unread/ignored/blacklisted/not suitable/communicating) and a comment. In parallel, at this stage, the Service Provider may offer specific puppies to the Customer, but such proposals are preliminary and may be withdrawn during the course of cooperation. This stage is not time-limited.
3.3.5 Stage 5 (Evaluation of the chosen club and determination): In the Google Sheets table, a section appears with an evaluation of the specific club (60 Q&A), where there is a clear understanding of: general information; housing conditions and space; socialization and environmental enrichment; health, veterinary medicine, and hygiene; parents and genetics; puppy behavior and weaning - according to the scheme of which the Service Provider makes a recommendation to take a puppy from a specific breeder. Also, the result may be waiting for a specific litter or mating, after which the Service Provider returns to work. This stage is considered completed when the Customer has booked a puppy.
3.3.6 Stage 6 (Customer receives the puppy) - at the discretion of the Service Provider: The Service Provider has the right to require their presence when a meeting takes place between the Customer and the breeder for the transfer of the puppy. At the same time, the Customer undertakes to compensate for all expenses for the basic needs of the Service Provider for such a trip: travel, food, and accommodation OR to provide them.
4.1 Obligations of the Service Provider:
4.1.1 To provide the Customer with services of proper quality as provided for in clause 2.2 of this Agreement.
4.1.2 To adhere to the principles of objectivity and professional ethics.
4.1.3 To comply with the requirements provided for by this Agreement and the specifics of the specific type of service.
4.1.4 To provide consultation and information services on working days (Tue-Sat) and working hours (10:00-20:00), unless otherwise agreed upon by the Parties individually.
4.2 Rights of the Service Provider:
4.2.1 To prohibit the Customer from distributing information, materials, presentations, and documents to third parties without the written permission of the Service Provider.
4.2.2 The Service Provider has the right to unilaterally refuse further execution of the Agreement at any time, including stopping the provision of consultations, answering questions, analyzing videos, or other services without a refund, if:
4.2.2.1 Systematic failure to follow the Service Provider's recommendations is observed (confirmed by three written remarks/warnings to the Customer in the messenger);
4.2.2.2 The Service Provider receives false information from the Customer regarding the dog's medical history, health status, or behavioral characteristics;
4.2.2.3 The Customer engages in unpleasant, offensive, aggressive, or unethical communication towards the Service Provider (including, but not limited to: insults, threats, obscene language, rudeness, manipulation, spam, excessive number of messages that interfere with work); violates business communication ethics, which creates obstacles for the proper performance of the Service Provider's professional duties.
4.2.3 To demand timely payment from the Customer.
4.2.4 To take photos/videos of the service provision process and use them for: portfolios, social media, demonstration of techniques to third parties, analysis at supervisions (provided that the Customer's personal data is kept anonymous, except for the image of the dog).
4.3 Obligations of the Customer:
4.3.1 To make payment for services no later than 48 hours before the scheduled time of service provision (except for services that provide for a different payment schedule by agreement).
4.3.2 To ensure the confidentiality of the materials received from the Service Provider.
4.3.3 To use the received information only for personal purposes, not to distort facts, and not to remove the Service Provider's copyright marks.
4.3.4 To implement the Service Provider's recommendations in daily communication and animal training in a timely and diligent manner.
4.3.5 To actively use the Support service throughout its entire duration (30 calendar days). Active use includes, but is not limited to: regular communication with the Service Provider (asking questions, receiving answers); providing up-to-date information on the animal's behavior, timely daily completion of the pre-agreed Google Sheets table in accordance with its content, video and photo recording upon the Service Provider's request (within no later than 3 (three) calendar days from the moment of the request).
4.4 Rights of the Customer:
4.4.1 To demand the provision of services in accordance with the terms of the Agreement.
4.4.2 To receive a written individual summary of recommendations after each full (lasting from 1 hour) paid Consultation within two working days after such Consultation.
4.4.3 To receive additional clarifications regarding the provided service during the working hours specified in clause 4.1.4.
5.1 The cost of services is indicated on the Service Provider's website and is current at the time of payment.
5.2 Payment is made via 100% prepayment through the WAYFORPAY payment service or to the Service Provider's bank account (IBAN) no later than 48 hours before the agreed time of service provision, unless other arrangements have been made.
5.3 In case of non-payment within the established time, the Service Provider has the right to cancel the time booking without additional notice.
5.4 The Customer cannot demand a reduction in the cost of services or a refund if they did not use the services.
6.1 In case of changes in the Customer's plans, the following rules regarding rescheduling and cancellation of services apply:
6.1.1 General rules of timely warning:
If the Customer warns about canceling or rescheduling a service (one-time consultation or consultation within a package) 24 hours or more before the appointed time: rescheduling to another date/time is free of charge, and in case of full cancellation of cooperation, funds are returned to the Customer in full (except for services where the process of their provision has already begun).
6.1.2 For Consultation (if warned less than 24 hours in advance):
Cancellation of the consultation by the Customer: paid funds are non-refundable and are withheld by the Service Provider in full as downtime compensation.
Rescheduling to another date/time: possible exclusively after the Customer pays an additional 30% of the initial cost of the service for downtime.
6.1.3 For services provided by a Package (if warned less than 24 hours in advance):
Rescheduling a consultation within the package to another date/time is possible provided that an additional penalty of 12% of the cost of the entire service package is paid.
Early termination of the Agreement and cancellation of cooperation at the initiative of the Customer is possible only until the moment of the first consultation from the package. In such a case, the Service Provider withholds 30% of the paid amount as a penalty, and returns 70% to the Customer. After the first consultation has been conducted, funds for the entire package are non-refundable.
6.1.4 For animal boarding and dog walking services: Since these services require strict planning and reservation of the Service Provider's schedule, special conditions apply:
Cancellation of walking or short-term boarding (up to 3 days) less than 24 hours before the start: 100% of the order value is withheld; this is compensation for disrupting the work schedule and the inability to take another client for this reserved time.
Cancellation of long-term boarding (more than 3 days) less than 72 hours before the start: a penalty in the amount of the cost of the first two days of boarding is withheld, the rest of the amount is returned to the Customer.
Early termination of boarding (if the Customer picks up the animal earlier than the agreed term): The Service Provider withholds the full cost of the actually used days of service, as well as a penalty of 50% of the cost of the remaining (unused) days of boarding. This is compensation for disrupting the work schedule and the inability to take another client for this reserved time.
Rescheduling boarding dates is possible only if there are free spots in the Service Provider's schedule.
6.1.5 For the service of selecting a breed, breeder, and/or puppy: Given the specifics of the service, which involves significant expenditures of time on market analysis and negotiations, refunds occur according to the following stages:
Cancellation before Stage 3 or Stage 4: 50% of the amount is refunded.
Cancellation at all subsequent Stages does not provide for a refund to the Customer.
7.1 All materials posted on the Service Provider's website, as well as Info Products (guides, webinars, video lessons, checklists, etc.) are objects of copyright and belong exclusively to the Service Provider.
7.2 By purchasing (or receiving in any other way) an Info Product, the Customer receives the right to use it exclusively for personal purposes.
7.3 IT IS STRICTLY FORBIDDEN: to transfer access to Info Products to third parties, copy, distribute, publish in the public domain, resell, or use to create one's own commercial products.
7.4 In case of discovering a violation of clause 7.3 of this Agreement, the Service Provider has the right to immediately block the Customer's access to the Info Product without a refund, and the Customer undertakes to pay the Service Provider a penalty in the amount of 50,000 (fifty thousand) UAH for each fact of illegal distribution, as well as to reimburse all losses incurred in full.
7.5 The service of selling an Info Product is considered to have been provided properly at the moment the Customer is granted access to the digital materials. Refunds for Info Products are not provided.
8.1 Services are provided in accordance with the Service Provider's education and practical experience. The Service Provider guarantees the quality of the services provided, provided that the Customer fulfills the knowledge and practical exercises received after the completion of the direct provision of the service.
8.2 The owner of the animal and the person who bears full legal, administrative, civil, and criminal liability for the animal's actions is the Customer. Under no circumstances is the Service Provider liable for damage caused by the Customer's dog to property, health, or life of third parties, as well as other animals before, during, or after the provision of services.
8.3 The Customer is aware of and unconditionally agrees that achieving the desired result of the Service Provider's work depends exclusively on the Customer's diligent execution of the Service Provider's recommendations and active use of the support service. The Service Provider does not provide guarantees regarding the result, as the animal's behavior is formed primarily by the owner's actions.
8.4 When providing boarding and walking services, the Service Provider is not liable for deterioration of the animal's health if it occurred as a result of hidden or chronic diseases that the Customer did not report, or as a result of objective reasons beyond the Service Provider's control (e.g., a viral infection if the dog is vaccinated). The Service Provider is liable for compliance with the conditions of safe animal care.
8.5 The Service Provider has the right to refuse to provide services to the Customer without refunding the payment made if the dog is visually sick, exhausted, or if the client cannot provide a document confirming the presence of the full list of vaccinations recommended by WSAVA.
8.6 The Customer is aware that the duration of the Support service is fixed and is 30 calendar days from the moment the service provision begins. Days missed by the Customer or periods during which the Customer did not use the service (did not communicate with the Service Provider, did not send information, did not ask questions, did not implement recommendations) do not extend the duration of the support and are not transferred to another period. Such missed days are considered used, and the service for them is considered provided in full.
9.1 The Parties are released from liability for partial or full non-fulfillment of obligations if it was a consequence of force majeure circumstances (fire, flood, earthquake, military actions, absence of internet connection not through the fault of the Parties) that arose after the conclusion of this Agreement.
9.2 The Party that cannot fulfill its obligations must notify the other Party at the first opportunity.
10.1 The Agreement enters into force from the moment the offer is accepted by the Customer (payment for services) and is valid until the Parties fully fulfill their obligations, unless otherwise provided by the Agreement.
10.2 Consultation usage period:
10.2.1 The Package (package of Consultations) is provided to the Customer within the paid period lasting 30 (thirty) calendar days from the date of the start of service provision, unless otherwise agreed upon by the parties separately.
10.2.2 In the event that the Customer has not used one or more consultations within the specified period, the Service Provider additionally provides the opportunity to use the unused consultations within a period of 7 (seven) to 14 (fourteen) calendar days after the end of the main period, however, without Support.
10.2.3 The date and time of the consultation during this additional period are agreed upon by the parties by mutual agreement within the Service Provider's available schedule.
10.2.4 In the event that the Customer has not used the unused consultations within the specified additional period, such consultations are considered provided in full and are not subject to rescheduling, compensation, or refund.
10.2.5 Rescheduling unused consultations to later dates (including after the expiration of the additional period) is possible exclusively on the condition that the Customer purchases the Support service or another additional package provided by the Service Provider.
10.3 All disputes are resolved through negotiations. In case of failure to reach an agreement, the dispute is subject to consideration in the Peresyp District Court of Odesa in accordance with the current legislation of Ukraine.
10.4 Rights and obligations under this Agreement cannot be transferred to third parties without the written consent of the other Party.
10.5 Changes and additions to this Agreement are made by mutual agreement of the Parties and are drawn up in the form of an additional agreement to this Agreement.
10.6 Otherwise, not provided for by this Agreement, the Parties are guided by the current legislation of Ukraine.
